3. Intellectual Property Rights

All Services, including software, designs, text, graphics, logos, icons, images, audio/video clips, data compilations, patents, trade secrets, algorithms, and AI models, are owned by Appuix, Inc. or our licensors and are protected by:

• United States and international copyright laws
• Trademark laws
• Patent laws (patent-pending technologies)
• Trade secret laws

3.2 User Content

You retain ownership of content you submit, upload, or create through our Services ("User Content"). By submitting User Content, you grant Appuix a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to:

• Use, reproduce, modify, and adapt your content
• Publish, transmit, and distribute your content
• Create derivative works
• Train and improve our AI models and systems
• Provide, maintain, and improve our Services

3.3 Feedback

4. Payment Terms

4.1 Fees

Certain Services require payment of fees. You agree to pay all applicable fees as described on our pricing pages or in your service agreement.

4.2 Billing

Depending on the platform:

• Subscription Services: Billed on a recurring basis (monthly/annually)
• Usage-Based Services: Billed based on actual usage metrics
• Incremental Billing: Per-minute or per-transaction charges (V100.ai)

4.3 Payment Methods

You must provide valid payment information. We accept major credit cards, ACH transfers, and other approved payment methods.

4.4 Refunds

All fees are non-refundable unless otherwise stated in your service agreement or required by law.

6.1 AI-Generated Content

AI-generated content may contain errors, inaccuracies, or biases. You are responsible for reviewing and verifying all AI outputs before use.

Our Services do not provide medical, legal, financial, or professional advice. Consult qualified professionals for such matters.

• Your violation of any third-party rights
• Your User Content
• Your negligence or willful misconduct

9. Dispute Resolution

9.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@appuix.xyz to resolve the dispute informally.

9.2 Arbitration

Any dispute that cannot be resolved informally shall be resolved through binding arbitration in accordance with the American Arbitration Association (AAA) rules.

9.3 Class Action Waiver

You agree to bring claims only in your individual capacity and not as part of a class action, collective action, or representative proceeding.

9.4 Governing Law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles.

10. Termination

You may terminate your account at any time by following our account closure procedures.

10.2 By Us

• Prolonged inactivity

10.3 Effect of Termination

Upon termination, your right to access Services ceases immediately. Provisions that by their nature should survive termination will survive (including intellectual property, disclaimers, limitations of liability, and dispute resolution).
